Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the website and services operated by Tyto AI Consulting ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Services
1.1 Scope of Service
We provide artificial intelligence consulting, training, and related advisory services (collectively, the "Services") as detailed in a separate written agreement, proposal, or statement of work ("SOW") executed between you and Tyto AI Consulting.

1.2 No Guarantees
While we use our best efforts and expertise, all Services are provided on an "as-is" and "as-available" basis. Due to the nature of AI development and technology, we do not guarantee specific outcomes, performance metrics, or results from our consulting or training, unless explicitly stated and guaranteed within a governing SOW.

2. Fees and Payment Terms
2.1 Service Fees
Fees for our Services, including consulting and training, are specified in the applicable SOW or service agreement. You agree to pay us the fees in accordance with the payment terms outlined in the governing agreement.

2.2 Payment Methods
All payments for Services rendered must be made via the methods specified in the SOW (e.g., bank transfer, wire transfer, ACH).

Important Note: Tyto AI Consulting DOES NOT process, store, or have access to any personally identifiable information (PII), financial account details, or credit card information. All payment processing is handled externally via third-party service providers (as specified in the SOW or invoice), and you are responsible for reviewing and adhering to their respective terms and privacy policies.

2.3 Late Payments
We reserve the right to charge interest on any overdue payments at a rate of 15% per annum or the maximum legal rate, whichever is lower. Services may be suspended or terminated for persistent non-payment.

3. Intellectual Property
3.1 Our Property
The website content, original courses, training materials, methodologies, code libraries (not specifically customized for you), trademarks, and service marks used by Tyto AI Consulting are and will remain the exclusive property of Tyto AI Consulting and its licensors.

3.2 Client and Developed Property
Ownership of any work product, including custom AI models, proprietary data, algorithms, and documentation specifically developed for you under a paid SOW, shall be determined solely by the terms of that SOW. In the absence of specific terms in the SOW, you will retain ownership of your underlying data, and we will retain ownership of our pre-existing IP and general methodologies.

3.3 Restrictions
You agree not to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from our website or training materials without our express written permission.

4. User Conduct
4.1 Lawful Use
You agree to use the website and Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services.

4.2 Prohibited Actions
You are prohibited from:

  • Using the Services to violate any applicable local, state, national, or international law.

  • Introducing malicious software, viruses, or harmful code to the website or our systems.

  • Attempting to gain unauthorized access to our or our clients' data, systems, or networks.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW:

In no event shall Tyto AI Consulting, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.

  • Any conduct or content of any third party on the Service.

  • Any errors or omissions in any content.

In all cases, our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to us for the specific service from which the claim arose in the three (3) months preceding the event giving rise to the liability.

6. Indemnification
You agree to defend, indemnify, and hold harmless Tyto AI Consulting and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  • Your use and access of the Service.

  • Your breach of these Terms.

  • Your use of the Services to process data in violation of any applicable laws.

7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Maryland, USA, without regard to its conflict of law provisions.

8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.
